Spokane South Hill Lacrosse Bylaws (12/14/2015)



The Lewis & Clark Lacrosse Club, Lewis & Clark Lacrosse, also known as South Hill Stealth Lacrosse, is dedicated to organizing, developing, and promoting the sport of lacrosse within the Spokane South Hill Community. The Club seeks to honor the game by instilling values of Scholastic achievement, sportsmanship and teamwork while fielding competitive lacrosse teams throughout the program.



Article I: Name of Organization

  1. The name of this organization shall be Lewis & Clark Lacrosse. In the remainder of this document to be referred to as the Club.
  2. Lewis & Clark Lacrosse is a non-profit organization


Article II: Affiliations

  1. All student athlete members of Lewis & Clark Lacrosse are members of US Lacrosse
  2. The Club is affiliated with the Washington High School Boys Lacrosse Association (WHSBLA) and the Washington Schoolgirls Lacrosse Association (WSGLA).

Article III: Purpose

  1. The purpose of Lewis & Clark Lacrosse is to provide support for Club Divisions through game operations, fundraising, and general club business and activities.

Article IV: Focus

  1. The Club shall focus on tasks needed for player registration, competition, fundraising, publicity, game operations, and coaches support as needed.
  2. The Club shall not focus on player team placement, playing time, travel requirements, or other coaching decisions. All such decisions are the responsibility of the Division Head Coach.
  3. Head Coach is hired/removed by the Board of Directors with a majority vote. Each coach must have a background check. Coaches are also required to comply with WHSBLA certification protocol. Head Coach can hire/remove assistant coaching staff with board approval.
  4. All Club members are required to understand and follow the Club Code of Conduct. Any disciplinary action to be taken regarding any player shall be in accordance with the Club Code of Conduct.

Article V: General Membership

  1. The General Membership shall consist of student athletes and their parents/guardians who are currently registered and in good standing (have paid registration fees and have no outstanding balance due to the organization).
  2. The General Membership shall also consist of coaches
  3. Student Athletes must be eligible to attend Lewis & Clark High School or Ferris High School attendance areas and be currently enrolled in grades 9-12. Students from other schools in the area will be addressed on a case by case basis.
  4. General Membership meetings shall be held a minimum of twice a year with reasonable notification to the membership.
  5. The General Membership, over the age of eighteen (18), shall elect officers to the Board of Directors. Voting is by majority in attendance or by proxy, and can take place if appropriate notice of the meeting has been given.

Article VI: Board of Directors

  1. The Board of Directors consists of the Officers of Lewis & Clark Lacrosse.
  2. The Officers include: President, Vice-President, Treasurer, Secretary and Three (3) Members-at-Large.
  3. The Officers are elected at a General Membership meeting for a two (2) year term but can be re-elected in the same position, or another officer position. Offices of Treasurer and one (1) At-Large position will be renewed in opposite years of the Secretary and two (2) At-Large positions. These positions will be staggered in order to provide continuity and for the best interest of the program.
  4. The Vice-President will automatically serve as President in their second year, therefore the position of Vice-President will be elected every year. The board President will only serve one year in that capacity.
  5. Nominations for Officer Positions are publicized to the General Membership and held open for 30 days before the election.
  6. The Board shall allow for continuity from year to year but also seek representation from each of the 4 grade levels.
  7. If vacancies occur during the season, the Board has the discretion of appointing a replacement to complete the remainder of the term.
  8. The Board will meet as deemed necessary by the President, or any officer, to carry out the business of the Club.
  9. The Board may form committees as needed to meet the need of the Club. Committees may make recommendations to the Board of Directors.
  10. Suspension or Removal: A board member may be suspended or removed by a vote of a majority of the members then in office.
  11. A majority of the Board must be present or available via telephone, in order to conduct business.
  12. Resignation: A board member may resign by delivering his or her written resignation to the President, Treasurer or during a Board Meeting. Such resignation shall be effective upon receipt (unless specified to be effective at some other time) and acceptance thereof shall not be necessary to make it effective unless it so states.
  13. Regular Meetings. Two regular meetings of the Membership shall be held each year. The first regular meeting of the Members shall be held prior to the beginning of league play, on such date and at such time as shall be determined by the Board of Directors. The second regular meeting of the Members shall be held following the end of each lacrosse season, at such time and on such date as shall be determined by the Board of Directors.
  14. Special Meetings shall be held when requested by either the Board President or any Board Member.
  15. Notification of regular meetings will be made by email at least 14 days prior to meeting date.
  16. Notification of special meetings will be made by email at least 72 hours prior to meeting date.

Article VII: Duties of the Board Members

  1. President: Presides over Board and General Membership Meetings
  2. Treasurer: Oversees income and expenditures, responsible for annual audit
  3. Secretary: Records minutes of all Board and General Membership meetings
  4. Member-At-Large: Is a voting member that assists with other Board positions as necessary.

Article VIII: Changes to Bylaws

  1. The Board may amend, revise or make necessary changes to the by-laws by a majority vote.
